MBO Client Completes Large Gas Generation Acquisition

On June 3, 2011, MBO client Golden Spread Electric Cooperative, Inc. acquired Denver City Energy Associates, L.P. (DCE), the owner of a 50-percent interest in Mustang Station Units 1-3, a gas-fired combined-cycle electric generating facility with a nameplate capacity of 486 MW. Prior to the acquisition, DCE was owned by affiliates of Arclight Energy Partners Fund IV. GS Electric Generating Cooperative, Inc., an affiliate of Golden Spread, owns the remaining 50-percent interest in the facility. MBO served as Golden Spread’s primary counsel for the transaction, conducting due diligence, negotiating the purchase and sale agreement, and securing regulatory and lender approvals.
